Terms & Conditions

These terms govern your use of Virooly. They explain what we provide, what we expect from you, and where each of our responsibilities begins and ends.

In short: use Virooly to respond to people who interact with you, follow the rules of the platforms you connect, don't use it to spam anyone, and pay for the plan you're on. The full detail is below.

1. Acceptance of these terms

These Terms & Conditions ("Terms") form a binding agreement between you and Virooly ("Virooly", "we", "us").

By creating an account, connecting a social media account, or otherwise using the Virooly platform (the "Service"), you confirm that you have read, understood and agreed to these Terms. If you are using Virooly on behalf of a business, you confirm you have authority to bind that business, and "you" refers to that business.

If you do not agree with these Terms, please do not use the Service.

2. Definitions

  • Service — the Virooly web application, APIs, dashboards and related tools.
  • Connected Account — any third-party social media account you authorise Virooly to access, such as an Instagram account.
  • Flow — an automation you configure, made up of one or more triggers and the actions that follow them.
  • Trigger — an event that starts a Flow, such as a comment, a direct message, a keyword match, a mention or a story reply.
  • End User — a person who interacts with your Connected Account and may therefore receive automated responses.
  • Your Content — the message templates, flow logic, media and other material you upload or configure.

3. Your account

Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Virooly. You must also be permitted to use the third-party platforms you connect.

Account security

You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us promptly at security@virooly.com if you believe your account has been accessed without your permission.

Accurate information

You agree to provide accurate account and billing information and to keep it current. We may suspend accounts where information is materially false or misleading.

4. The service we provide

Virooly lets you connect social media accounts and build automated Flows that respond to interactions. Depending on your plan, the Service may include comment and keyword triggers, automated replies and direct messages, lead qualification, tagging, analytics, webhooks and API access.

You decide what your Flows say and do. Virooly provides the tooling; the content of every automated message, and the decision to send it, is yours.

We may add, change or remove features over time. Where a change materially reduces functionality on a paid plan, we will give you reasonable notice.

5. Third-party platforms

Virooly operates through the official APIs of the platforms you connect. Your use of those platforms remains governed by their own terms and policies — including, where relevant, the Instagram Terms of Use and the Meta Platform Terms.

  • You are responsible for ensuring your Flows comply with the rules of every platform you connect.
  • Platforms may change, restrict or withdraw API access at any time. If that happens, some Virooly features may stop working, through no fault of ours.
  • Platforms may rate-limit, restrict or disable your account if they consider your activity to breach their policies. We cannot control or reverse those decisions.
  • You may disconnect a Connected Account at any time, and you may revoke Virooly's access from within the platform itself.

Virooly is an independent product. We are not affiliated with, endorsed by, or sponsored by Instagram or Meta Platforms, Inc., and any platform names used here are for identification only.

6. Acceptable use

Automation should make you faster to respond, not harder to escape. You agree that you will not use Virooly to:

  • Send unsolicited bulk messages, spam, or messages to people who have not interacted with you.
  • Send messages to anyone who has asked you to stop, or ignore an opt-out request.
  • Impersonate any person, brand or organisation, or misrepresent your affiliation with one.
  • Publish or send content that is unlawful, defamatory, harassing, hateful, sexually exploitative, or that promotes violence or self-harm.
  • Distribute malware, phishing links, or content designed to deceive people into giving up credentials or payment details.
  • Promote fraudulent, deceptive or misleading offers, including fake discounts, fake scarcity or fabricated reviews.
  • Collect personal data beyond what you need, or use it for a purpose the End User would not reasonably expect.
  • Circumvent platform rate limits, security controls, or any technical restriction in the Service.
  • Resell, sublicense or white-label the Service except where your plan expressly allows it.
  • Reverse engineer, scrape or attempt to extract the source code of the Service.

Messaging responsibly

Where the law requires consent to send marketing messages, obtaining that consent is your responsibility. You must give End Users a clear way to stop receiving messages, and you must honour those requests promptly.

7. Your content and data

You keep ownership of Your Content. You grant us a limited, non-exclusive, worldwide licence to host, process, transmit and display it strictly for the purpose of operating the Service for you.

You are responsible for having the rights to everything you upload, and for ensuring your Flows and messages comply with applicable law.

How we handle personal data — yours and your End Users' — is described in our Privacy Policy, which forms part of these Terms. Where you use Virooly to process personal data about your End Users, you act as the data controller and we act as your processor.

8. Plans, billing and refunds

Subscriptions

Paid plans are billed in advance on a recurring basis, either monthly or annually as selected at checkout. Prices are shown on our pricing page and are exclusive of taxes unless stated otherwise.

Renewal and cancellation

Subscriptions renew automatically at the end of each billing period unless you cancel beforehand. You can cancel at any time from your dashboard; your plan then remains active until the end of the period you have already paid for.

Refunds

Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. If you believe you have been billed in error, contact billing@virooly.com within 30 days and we will review it.

Failed payments

If a payment fails, we may retry it and may suspend or downgrade your account until the balance is settled. Flows on a suspended account stop running.

Price changes

We may change our prices. We will give you at least 30 days' notice before a change affects your next renewal, and you may cancel before it takes effect.

9. Intellectual property

The Service — including its software, design, branding, documentation and the Virooly name and logo — belongs to us and our licensors, and is protected by intellectual property law. These Terms grant you a limited, revocable, non-transferable right to use the Service in line with your plan. Nothing here transfers ownership to you.

If you send us feedback or suggestions, we may use them to improve the Service without obligation or compensation to you.

10. Availability and support

We work to keep Virooly available and reliable, but we do not guarantee uninterrupted service. Maintenance, platform outages, and factors outside our control can all affect availability.

Features labelled beta, preview or experimental are provided as-is, may change without notice, and may be withdrawn.

Support is provided by email at support@virooly.com. Response times vary by plan.

11. Suspension and termination

You may stop using Virooly and close your account at any time.

We may suspend or terminate your access, with notice where reasonably possible, if:

  • you materially breach these Terms, in particular the acceptable use rules;
  • your use puts our platform, our other customers, or a connected platform at risk;
  • we are required to do so by law or by a platform we depend on;
  • your account has unpaid amounts outstanding after a reasonable grace period.

On termination, your right to use the Service ends and your Flows stop running. You may export your data before closing your account, and we will delete or anonymise it in line with the retention periods in our Privacy Policy.

12. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that:

  • the Service will be uninterrupted, timely, secure or error-free;
  • every automated message will be delivered, or delivered within a particular time;
  • using Virooly will produce any particular commercial result, including leads or sales;
  • a connected platform will continue to permit the integrations we offer today.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

13. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity, however caused.

Our total aggregate liability arising out of or relating to the Service in any twelve month period is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

In particular, we are not liable for action taken against your account by a third-party platform, or for the content of messages your Flows send.

14. Indemnification

You agree to indemnify and hold harmless Virooly, its officers, employees and contractors from any claim, demand, loss or expense (including reasonable legal fees) arising from your use of the Service, Your Content, your breach of these Terms, or your breach of any third-party platform's rules or any applicable law.

15. Governing law and disputes

These Terms are governed by the laws applicable at Virooly's principal place of business, without regard to conflict of law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect its intellectual property.

Before starting formal proceedings, we ask that you contact us at legal@virooly.com so we can try to resolve the matter directly.

If you are a consumer, you keep the benefit of any mandatory protections under the law of the country where you live.

16. Changes to these terms

We may update these Terms as the Service and the law evolve. When we make a material change, we will update the date at the top of this page and notify you by email or in-product notice before it takes effect.

Continuing to use Virooly after a change takes effect means you accept the updated Terms. If you do not accept them, you should stop using the Service and cancel your plan.

17. General

  • Entire agreement — these Terms and the Privacy Policy are the whole agreement between us on this subject.
  • Severability — if any provision is found unenforceable, the rest stays in force.
  • No waiver — not enforcing a right straight away does not waive it.
  • Assignment — you may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition or sale of assets.
  • Force majeure — neither party is liable for delays caused by events genuinely beyond its reasonable control.
